1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Partner," "you," or "your") and Kanso WorldShop Inc., a Pennsylvania corporation operating under the brand name "ConsignPro" ("ConsignPro," "we," "us," or "our") governing your access to and use of the ConsignPro website, vendor portal, and consignment and reimbursement services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Services.

2. Description of Services

ConsignPro provides:

  • Consignment Services: receiving, listing, marketing, and selling consigned inventory across third-party e-commerce marketplaces (including but not limited to Amazon, eBay, and Walmart).
  • Reimbursement Services: filing reimbursement claims with Amazon on behalf of authorized partners for inventory issues including lost, damaged, customer- returned, or misrouted items.
  • Warehousing & Fulfillment: receiving, inspecting, storing, and shipping inventory from our facility in Pittsburgh, PA.
  • Reporting & Settlement: tracking sales, fees, refunds, and payouts through our vendor portal.

3. Eligibility

You must be at least 18 years old and authorized to enter into binding contracts on behalf of yourself or the legal entity you represent. By accepting these Terms, you represent that you meet these requirements.

ConsignPro may refuse service to any person or entity in its sole discretion. Acceptance as a Partner is subject to our review of your business, the nature of your inventory, and compliance with our internal policies.

4. Accounts

4.1 Registration

To use the Services, you must register for an account by providing accurate and complete information. You agree to maintain and update this information.

4.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. Notify us immediately at support@theconsignpro.com of any unauthorized access or security breach.

4.3 Account Suspension or Termination

We may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, regulatory non-compliance, or any conduct we determine in our sole discretion to be harmful to ConsignPro, our partners, marketplaces, or third parties.

5. Consignment Relationship

5.1 Title and Risk

Title to consigned merchandise remains with the Partner until sale to a third-party buyer. ConsignPro acts as the Partner's authorized agent for marketing, sale, and fulfillment. Risk of loss for inventory in transit to ConsignPro is borne by the Partner unless otherwise agreed in writing.

5.2 Listing Authority

Partner grants ConsignPro the non-exclusive right to:

  • Photograph, describe, and list consigned products on marketplaces
  • Set or adjust prices based on market conditions and our judgment
  • Process orders, returns, and refunds on Partner's behalf
  • Communicate with end customers on Partner's behalf in connection with sales
  • Apply marketplace-specific compliance requirements (e.g., taxes, labeling)

5.3 Inventory Acceptance

ConsignPro reserves the right to refuse acceptance of any consigned inventory that:

  • Violates marketplace policies or applicable laws
  • Infringes third-party intellectual property rights
  • Is hazardous, recalled, expired, or otherwise unsuitable for resale
  • Is delivered in damaged or unsellable condition
  • Is misrepresented in advance documentation

Refused inventory will be either returned to Partner (Partner pays return shipping) or, at Partner's election, disposed of by ConsignPro.

6. Fees and Payments

6.1 Commission Structure

Unless otherwise agreed in writing, ConsignPro and Partner share 50/50 of the net earnings from each consigned sale, after marketplace fees, advertising fees, and shipping costs are deducted.

6.2 Operational Charges

Standard operational charges apply:

  • Transaction fee: $1.00 per transaction
  • Monthly account fee: $10.00 per active month
  • Storage fee: $5.00 per crate per month
  • Intake fee: $1.00 per shipment received
  • Return processing fee: $5.00 per customer return

ConsignPro may modify these charges with 30 days' written notice.

6.3 Refunds and Negative Balances

When a customer return or refund occurs, the original earnings allocated to Partner are reversed proportionally, and applicable processing fees apply. If a Partner's account enters a negative balance, the balance is carried forward and offset against future earnings, or collected via Stripe charge to the Partner's payment method on file.

6.4 Payouts

Payouts are processed monthly, typically within 15 days following the end of each calendar month, via Wise or Stripe in the Partner's preferred currency. ConsignPro is not liable for delays caused by banks or payment processors.

6.5 Tax Reporting

ConsignPro will issue IRS Form 1099-NEC or equivalent annual tax forms as required by U.S. federal and state law. Partners outside the U.S. are responsible for their own tax obligations in their jurisdictions.

7. Amazon FBA Reimbursement Service

7.1 Authorization

Partners may authorize ConsignPro to access their Amazon Seller Central account via the Amazon Selling Partner API (SP-API) for the purpose of identifying and filing reimbursement claims. Authorization is granted via OAuth and may be revoked at any time through the vendor portal.

7.2 Scope

The reimbursement service covers claims related to:

  • Inventory lost or damaged in Amazon fulfillment centers
  • Customer returns not refunded to the seller account
  • Items received back differently than originally shipped (return swap)
  • Inbound shipment discrepancies
  • Other inventory-related reimbursements available under Amazon's policies

7.3 Commission

For approved reimbursements, ConsignPro retains 50% of the gross reimbursement amount paid by Amazon. The remaining 50% accrues to the Partner. ConsignPro's commission is automatically deducted from the Partner's monthly settlement.

7.4 Discretion

ConsignPro reviews each potential claim on its merits. We may decline to file claims that we deem unmeritorious, unlikely to succeed, or potentially in violation of Amazon's policies. Filing a claim does not guarantee approval by Amazon.

7.5 No Guarantee

Amazon retains sole discretion to approve, partially approve, or deny any reimbursement claim. ConsignPro makes no representations or warranties regarding reimbursement outcomes.

8. Partner Obligations

Partner agrees to:

  • Provide accurate inventory information and disclose any known defects or issues
  • Hold valid title to all consigned merchandise
  • Comply with all applicable laws, including IP, customs, and tax regulations
  • Not consign counterfeit, stolen, recalled, hazardous, or restricted merchandise
  • Not interfere with or attempt to bypass ConsignPro's marketplace operations
  • Maintain accurate contact and payment information in the vendor portal
  • Pay any negative balances owed to ConsignPro promptly

9. Prohibited Conduct

You agree not to:

  • Use the Services for any unlawful purpose
  • Submit false or misleading information
  • Engage in fraud, money laundering, or trade-based fraud
  • Infringe third-party intellectual property rights
  • Attempt to access ConsignPro systems without authorization
  • Reverse engineer, scrape, or copy the Services or vendor portal
  • Use the Services to violate marketplace policies (Amazon, eBay, Walmart) in any way
  • Resell, sublicense, or transfer access to the Services without our consent

10. Intellectual Property

All content, design, code, and trademarks of the Services, including the names "ConsignPro" and "Kanso WorldShop," are owned by Kanso WorldShop Inc. or its licensors. Partners are granted a limited, non-exclusive, non-transferable license to use the Services solely for their intended purposes during the term of the partnership.

Partner retains ownership of its consigned merchandise and product brand IP. Partner grants ConsignPro a license to use product images, descriptions, and trademarks solely for listing, marketing, and selling the consigned merchandise on marketplaces.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION.

WITHOUT LIMITING THE FOREGOING, CONSIGNPRO DOES NOT WARRANT:

  • Specific sales volumes, prices, or revenue outcomes
  • Approval of any specific marketplace listing
  • Approval of any specific reimbursement claim by Amazon
  • Compatibility with all marketplace policies as they evolve
  • Continuous, error-free operation of the vendor portal or supporting systems

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL CONSIGNPRO (NOR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS) BE LIABLE TO YOU FOR:

  • ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, OR GOODWILL
  • LOSS OR CORRUPTION OF DATA
  • DAMAGES ARISING FROM THIRD-PARTY ACTIONS, INCLUDING MARKETPLACE POLICY CHANGES, AMAZON REIMBURSEMENT DECISIONS, OR PAYMENT PROCESSOR ACTIONS

CONSIGNPRO'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE SERVICES WILL NOT EXCEED THE TOTAL COMMISSIONS PAID BY YOU TO CONSIGNPRO IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless ConsignPro, Kanso WorldShop Inc., and their officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

  • Your breach of these Terms
  • Your consigned merchandise, including IP infringement, product liability, or regulatory violations
  • Your violation of any applicable law
  • Your fraud, willful misconduct, or gross negligence

14. Termination

Either party may terminate the partnership at any time with 30 days' written notice. Upon termination:

  • Active marketplace listings will be wound down
  • Remaining inventory at ConsignPro's facility will be returned to Partner at Partner's cost, or disposed of as agreed
  • Final settlement will be issued within 60 days of the last sale
  • Amazon SP-API authorization will be revoked
  • Sections regarding IP, confidentiality, disclaimers, liability limits, indemnification, and dispute resolution survive termination

15. Disputes and Governing Law

15.1 Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict of laws principles.

15.2 Venue

Any action arising out of or related to these Terms must be brought exclusively in the state or federal courts located in Allegheny County, Pennsylvania, and you consent to the personal jurisdiction of those courts.

15.3 Informal Resolution

Before initiating any legal action, the parties agree to attempt good-faith resolution via direct negotiation for at least 30 days.

15.4 Waiver of Class Action

You agree that any dispute will be resolved on an individual basis, and you waive any right to participate in a class action.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy and any signed consignment agreement between the parties, constitute the entire agreement.

16.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.

16.3 No Waiver

No waiver of any term will be deemed a further or continuing waiver of such term or any other term.

16.4 Assignment

You may not assign these Terms without ConsignPro's prior written consent. ConsignPro may freely assign these Terms in connection with a merger, acquisition, or sale of assets.

16.5 Notices

Notices to ConsignPro must be sent to support@theconsignpro.com. Notices to Partner will be sent to the email address on file in the vendor portal.

16.6 Changes to Terms

We may modify these Terms from time to time. Material changes will be communicated via email and posted on this page with an updated effective date. Continued use of the Services after a change indicates acceptance of the updated Terms.
